fair terms. plain language.

these terms cover what you can expect from us, what we expect from you, and what happens if either of us doesn't hold up our end. by installing Maximo, you agree to these terms. if you don't, don't install it.

Early access

Maximo is currently in early access. that means features may change quickly, occasional issues are likely, and you have a direct line to the team. founding-merchant pricing is locked in for the duration of your subscription as long as it stays continuous.

01 The parties

these terms are between you (the merchant or organization installing Maximo) and mthd studio, llc., a Delaware limited liability company operating the Maximo app. references to "you" mean the merchant; references to "we", "us", or "Maximo" mean mthd studio, llc.

02 Your account

you need an active Shopify store to use Maximo. you're responsible for keeping your account credentials secure and for all activity that happens under your account. if you give other people access to your Maximo dashboard, you're responsible for what they do.

you must be authorized to bind your business to these terms. you must be at least 18 years old.

03 Using Maximo

you may use Maximo for any lawful purpose. you may not:

  • use Maximo to publish products that violate Shopify's, Google's, Meta's, or TikTok's policies (illegal goods, counterfeit, misleading claims, etc.)
  • reverse-engineer, copy, or attempt to extract the source code of Maximo
  • use Maximo to send fake conversion events or otherwise manipulate ad-platform metrics
  • resell, sublicense, or white-label Maximo without a written agreement with us
  • use Maximo in a way that interferes with our infrastructure or other merchants' use of the service

if you publish a feed or fire events that violate an ad platform's policies and your account there gets suspended, that's between you and them. we'll do what we reasonably can to help, but we can't intervene in those decisions.

04 Your data

your data stays yours. our handling of it is governed by the privacy policy — including the commitment that we never use your individual store data to train shared AI models.

you grant us the limited license needed to operate the service: to read your store data, generate catalogs, send conversion events, and produce AI suggestions for your review.

you can export your data at any time. on uninstall, all non-billing data is deleted within 30 days.

05 Fees & billing

during early access, founding-merchant pricing is offered to invited merchants. once you're on a paid plan, billing happens through the Shopify billing API on a recurring monthly basis.

  • founding-merchant pricing stays locked in for the duration of your continuous subscription. if you uninstall and re-subscribe later, you re-subscribe at then-current pricing
  • price changes on standard plans are communicated at least 30 days in advance
  • refunds aren't issued for partial months. if you uninstall mid-cycle, you keep access through the end of the cycle you've already paid for
  • taxes are your responsibility; we charge sales tax where required by Shopify's billing system

06 Third-party platforms

Maximo integrates with Shopify, Google, Meta, TikTok, and other platforms. those platforms have their own terms, and your use of them is governed by their terms — not ours. we're not responsible for changes those platforms make to their APIs, policies, or fee structures, though we'll do our best to adapt Maximo accordingly.

if a platform suspends, deprecates, or otherwise changes an integration we depend on, we'll notify you and refund unused fees for that specific integration if it can no longer be delivered.

07 Intellectual property

Maximo, the Maximo wordmark, the celadon-and-french-blue visual identity, and all software powering the service are owned by mthd studio, llc. you don't acquire any ownership of Maximo by using it.

your products, your catalog, your store, and any content you create remain yours. AI-generated suggestions become yours once you approve them.

if you give us feedback on the product, we can use it to improve Maximo without owing you anything in return — but we'll never publicly identify you as the source without permission.

08 Warranties & disclaimers

we work hard to keep Maximo reliable, accurate, and secure. but Maximo is provided "as is" without any express or implied warranty beyond what applicable law requires.

specifically, we don't warrant that:

  • Maximo will be uninterrupted or error-free
  • any specific ROAS, match quality score, or revenue outcome will result from using Maximo
  • third-party platforms' APIs will continue to function as they currently do

we recommend monitoring your ad accounts and conversion data independently — even with Maximo in place. trust but verify.

09 Liability

to the fullest extent permitted by law, mthd studio, llc.'s aggregate liability for any claim related to Maximo is limited to the fees you paid us in the 12 months before the claim arose. we're not liable for indirect, consequential, or lost-profit damages.

this limit doesn't apply to fraud, willful misconduct, or anything else law doesn't allow us to limit.

10 Term & termination

these terms stay in effect while you have Maximo installed.

  • you can uninstall and end the agreement at any time, from your Shopify admin
  • we can suspend or terminate your account if you materially breach these terms or if a third-party platform requires us to. we'll give you reasonable notice and a chance to fix the issue when possible
  • sections that should survive termination — IP, liability, governing law, and any unpaid fees — survive

11 Governing law

these terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. any dispute will be resolved in the state or federal courts located in Delaware, and you and we both consent to that jurisdiction.

if you're an EU/UK consumer, this clause doesn't override your statutory rights.

12 Changes

we may update these terms. material changes will be communicated to the primary contact on your account at least 30 days before they take effect. continued use of Maximo after that means you accept the updated terms.
